Terms of Service — Agile Software Solutions

This document is a working draft that reflects Agile Software Solutions' actual practices around website use and trial licensing as of the effective date above. The company's counsel has not yet reviewed this document. Before these terms are published on the production site, they should be reviewed by a qualified attorney familiar with US contract and software licensing law, particularly around warranty disclaimers, limitations of liability, and the enforceability of specific clauses in Agile's target jurisdictions.

1. Acceptance.

By using this website (agilesoftwaresolutions.com and its subdomains) or by installing and using the AgileWeight trial software, you accept these Terms of Service. If you do not accept them, do not use the site or the trial. These terms are between you and Agile Software Solutions, Inc., a Delaware C-Corp ("Agile," "we," "us").

2. Website use.

This site is provided for informational purposes. You may view, read, and share the content for personal and business purposes. You may not scrape the site at scale, reverse-engineer any component of it, or attempt to gain unauthorized access to any system that hosts it.

The design, code, images, and text on this site are the property of Agile Software Solutions, Inc. or its licensors. Product names, feature names, and other trademarks used on this site (AgileWeight, AgileService, AgileAI) are trademarks of Agile Software Solutions, Inc.

3. AgileWeight trial license.

When you request the AgileWeight trial and we send you the installer, we grant you a limited license to install and use the software under these conditions:

Duration. 30 days from the date you receive the installer.
Installations. You may install and run the trial on one server (or equivalent virtualized environment) at a time. If you need additional installations for evaluation across sites, contact us.
Purpose. Evaluation only. You may not use the trial for production commercial operations. You may not resell the trial software, redistribute the installer, or grant rights in the software to any third party.
Modifications. You may not reverse-engineer, decompile, or attempt to derive the source code of the trial software. You may not modify the trial software.
End of trial. At the end of the 30-day trial period, you either purchase a production license from us (or through an authorized distributor) or you uninstall the software and destroy any copies.

Data you generate using the trial software (weighings, tickets, reports) belongs to you. The software itself remains the property of Agile Software Solutions, Inc.

4. No warranty.

The website and the trial software are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, whether express or implied. To the maximum extent permitted by law, Agile disclaims all warranties including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and freedom from defects or errors.

Agile does not warrant that the website or the trial software will be uninterrupted, error-free, or free from security vulnerabilities. The trial software is offered for your evaluation; you are responsible for backing up any data before installation and for the security of any environment in which you run the trial.

5. Limitation of liability.

To the maximum extent permitted by law, Agile's liability for any claim arising out of or relating to the website or the trial software is limited to the amount you paid us for the software or service that gives rise to the claim (which, for the trial, is zero).

Agile is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or relating to the website or the trial software, even if Agile has been advised of the possibility of such damages.

6. Termination.

Agile may terminate your access to the website or the trial software at any time if you materially breach these terms. On termination of the trial license, you must uninstall the trial software and destroy any copies.

7. Governing law.

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these terms will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

8. Changes to these terms.

We may update these terms from time to time. If we change them, we will update the "last updated" date at the top and, for material changes, will notify people with active trials via email.
